USER AGREEMENT

THESE TERMS AND CONDITIONS (“T&CS”), AS MODIFIED OR AMENDED FROM TIME TO TIME (“Terms”) ARE A BINDING CONTRACT BETWEEN REALTY INVESTORS ASSOCIATION, INC. (“REI” or “we”) AND YOU (“you”). BEFORE USING THE REALESTATEINSTINCT.COM WEBSITE (the “Site”), PLEASE READ THESE TERMS RELATING TO YOUR USE OF THE SITE CAREFULLY. BY USING THE SITE, YOU AGREE TO BE BOUND BY THESE TERMS, INCLUDING THE PRIVACY POLICY, AND YOU AGREE TO FOLLOW THE GUIDELINES AND POLICIES THAT REI MAY POST ON THE SITE OR PROVIDE TO YOU FROM TIME TO TIME. IF YOU DO NOT AGREE TO THESE TERMS, YOU ARE NOT AUTHORIZED TO USE THE SITE, IN WHICH CASE YOU SHOULD IMMEDIATELY EXIT AND NOT USE THE SITE. REI MAKES THE SITE CONTENT AND INFORMATION ON THE SITE AVAILABLE TO YOU CONDITIONED UPON YOUR ACCEPTANCE, WITHOUT MODIFICATION, OF THE TERMS. THESE TERMS APPLY TO ALL USERS, INCLUDING VISITORS TO THE SITE, AND REGISTERED MEMBERS AUTHORIZED TO POST CONTENT TO THE SITE. IF YOU WISH TO BECOME A REGISTERED USER, COMMUNICATE WITH OTHER REGISTERED USERS AND MAKE USE OF REI’S SERVICES, YOU MUST READ THIS AGREEMENT AND ALSO INDICATE YOUR ACCEPTANCE DURING THE REGISTRATION PROCESS.

 

  1. REI’S SERVICES

Throughout this website (www.Realestateinstinct.com), REI will provide you with access to a variety of resources. These resources include various tools, data collections, educational materials, download areas, rich media, information, articles and other miscellaneous sources (collectively “Services”). The Services, including any updates, enhancements, new features and/or the addition of any new properties, are subject to the T&CS.

 

  1. CONSENT REQUIRED FOR USAGE OF DOCUMENTS

You must obtain prior express written consent from REI to use Documents (such as articles, research reports, press releases, educational materials and FAQs) from any Services or to create derivative works therefrom.

 

  1. NO PROHIBITED OR UNLAWFUL USES

You must not use the Services for any purpose that is unlawful or prohibited by these T&CS. Any violations of these T&CS will result in the revocation of (a) your right to use the Services, and (b) any username and password you may have been issued. You must not attempt to gain unauthorized access to any Services, other accounts, computer systems or networks connected to any REI server or to any of the Services, through hacking, password mining or any other means. You must not use the Services in any manner that could damage, disable, overburden or impair any REI server, or the network(s) connected to any REI server. You further agree that you will not interfere or attempt to interfere with any other party’s use and enjoyment of any Services. You must not obtain or attempt to obtain any materials or information through any means not intentionally made available through the Services.

 

  1. DUTY TO MAINTAIN SECURITY; REGISTRATION REQUIRED

Certain Services will require you to register with REI. If such registration is required, you must provide us with current, complete and accurate information as prompted by the applicable online registration form. REI will supply you with a username and password once you have supplied the required information. It is your sole responsibility to maintain the security and confidentiality of your password and account. You also have sole responsibility for any and all activities that occur under your account. In the event you become aware of any unauthorized use of your account or any other breach of security, you agree to notify REI immediately and to provide all the facts and circumstances of the incident(s). REI shall have no liability for any damages or loss of any type that you may incur as a result of someone else using your password or account, whether you authorized that usage or not. You acknowledge that you could be held liable for damages or losses incurred by REI or another party should someone else use your account or password, whether you authorized that usage or not. You must obtain the prior express permission of the account holder in order to use some other person’s account.

 

  1. USER GENERATED CONTENT

You may have the opportunity to interact and contribute to the website through the creation of articles, opportunity listings, comments or other forms of user generated content. SHOULD YOU CONTRIBUTE TO THE SITE, YOU AGREE TO BE SOLELY RESPONSIBLE FOR YOUR CONTENT.

 

  1. ELECTRONIC COMMUNICATIONS

When you visit Realestateinstinct.com or send e-mails to us, you are communicating with us electronically. You consent to receive communications from us electronically. We will communicate with you by e-mail or by posting notices on this site. You agree that all agreements, notices, disclosures and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

 

  1. LIMITATION OF LIABILITY

REI AND/OR ITS RESPECTIVE AFFILIATES MAKE NO REPRESENTATIONS ABOUT THE SUITABILITY OF THE INFORMATION CONTAINED IN THE DOCUMENTS AND RELATED GRAPHICS PUBLISHED AS PART OF THE SERVICES FOR ANY PURPOSE. ALL SUCH DOCUMENTS AND RELATED GRAPHICS ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. REI AND/OR ITS RESPECTIVE AFFILIATES HEREBY DISCLAIM ALL WARRANTIES AND CONDITIONS WITH REGARD TO THIS INFORMATION, INCLUDING THE FOLLOWING:

  1. ALL WARRANTIES AND CONDITIONS OF MERCHANTABILITY, WHETHER EXPRESS, IMPLIED OR STATUTORY;
  2. ALL WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.

NEITHER REI NOR ITS RESPECTIVE AFFILIATES SHALL HAVE ANY LIABILITY FOR ANY SPECIAL, INDIRECT OR CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER RESULTING FROM LOSS OF USE, DATA OR PROFITS, WHETHER BASED ON ACTIONS ARISING FROM CONTRACT, NEGLIGENCE OR ANY OTHER TORTIOUS ACTION. THIS WAIVER AND RELEASE INCLUDES ANY AND ALL DAMAGE CLAIMS ARISING OUT OF OR IN CONNECTION WITH THE USE OR PERFORMANCE OF INFORMATION AVAILABLE FROM THE SERVICES.

YOU MUST EXERCISE YOUR OWN DUE DILIGENCE IN REVIEWING AND ASSESSING THE SERVICES AND THE SUITABILITY OF THE SERVICES FOR YOUR OWN FACTS, CIRCUMSTANCES AND SITUATION. CHANGES ARE PERIODICALLY ADDED TO THE INFORMATION HEREIN.
